Director Assistant General Counsel
The Director Assistant General Counsel is responsible for providing strategic legal advice and counsel regarding the Company’s commercial matters.
Essential Job Functions/Accountabilities:
Designs, negotiates and drafts agreements for various corporate and commercial transactions
Provides strategic legal advice regarding credit and securities matters
Provides strategic legal advice regarding strategic initiatives, including M&A and international activity
Provides legal advice to support the Company’s compliance, ethics and corporate social responsibility programs in all aspects of the role
Leads a team of legal professionals to ensure efficient delivery of top-quality global legal services in the areas of commercial law
Develops and manages business plan and budget for the Commercial section of the legal department
Utilizes and manages external legal resources strategically to augment internal team
Provides timely, accurate, and strategic legal counsel and support to internal customers
Develops and supports provision of research, advice, and in-service training to internal customers
Prepares regular reports on Commercial section performance (outcomes, budget, forecasting)
Adheres to and supports the company’s policies, as well as compliance, ethics, and corporate social responsibility programs in all aspects of the role
Manages service providers and vendors effectively; structures relationships with service providers in a strategic manner; sets expectations; develops performance metrics; measures vendor performance, provides feedback, and holds accountable
Adds value as a key member of management; understands the business, financials, industry, customers, and strategy
Supervises employees, provides direction, coaches, trains and develops, and manages performance to company goals and expectations
Consistent regular scheduled attendance is considered an essential function of this job
Performs other duties as assigned
Position Requirements:
Competencies, skills and behaviors
Business acumen
Team-oriented; collaborative and flexible
7 to 10 years of experience is required
5 to 7 years supervising experience is required
Bachelor’s degree and Juris Doctor are required
Master of Business Administration is preferred
Licensure to practice law in Ohio or at least one other state, with an ability to become licensed in Ohio, is required. License to practice law in other jurisdictions is preferred
Experience leading a legal division in a large, public, global enterprise, including leading executive level professionals, is required
Experience leading aspects of the organization’s legal function related to all areas of commercial law, including supervising teams of legal professionals, is preferred
Experience working in both law firms and as in-house counsel is required
Must be proficient in MS Office – Outlook, Excel and Word
